Specific topics to be addressed, include: how to draft a clear, concise and effective operating agreement; potential options for allocating income and losses; a discussion on what provisions cover withdrawal, issuance and transfer of membership interests; a step-by-step walkthrough of details to consider when drafting an LLC agreement; an overview of formation provisions; practical implications of majority, super-majority, and unanimity voting; various options for tax entity selection; and a discussion on transfer restrictions, right of first refusal, impasse (put/call), capital call and dissolution provisions.
